10. Sonstige Kommentare:
Von den im Feld 7A angeführten 70.299.908 Stück Aktien (rund 59,46%), die
die in Feld 3 genannten Rechtsträger in Summe halten, sind lediglich
57.000.001 Stück (rund 48,21%) syndiziert und damit wechselseitig gem §
133 Z 1 BörseG 2018 zuzurechnen. Die übrigen 13.299.907 Stück Aktien (rund
11,25%) sind nicht syndiziert und werden daher nicht wechselseitig gem §
133 Z 1 BörseG 2018 zugerechnet.

Mit 30.05.2025 hat die UNIQA Österreich Versicherungen AG 1.800.000 Stück
Aktien übertragen, die nicht syndiziert sind. Durch die unmittelbare
Übertragung (§ 130 BörseG 2018) dieser 1.800.000 Stück Aktien/Stimmrechte
hat die UNIQA Österreich Versicherungen AG die Meldeschwelle von 15%
unterschritten.

Die Stimmrechtsanteile sind (i) einschließlich zugerechneter Stimmrechte
(§ 130 und § 133 Z 1 und Z 4 BörseG 2018) sowie (ii) zusammengerechnet mit
den Stimmrechten aus Finanzinstrumenten (B.1) (Vorkaufsrecht) (§ 131 Abs 1
BörseG 2018), jeweils Anzahl Stimmrechte und %:
–      UNIQA Insurance Group AG (i) 60.553.080 / rd 51,22%; (ii)
89.053.081 / rd 75,33%;
–      UNIQA Beteiligungs-Holding GmbH sowie UNIQA Österreich
Versicherungen AG (i) 60.547.565 / rd 51,22%; (ii) 89.047.566 / rd 75,32%;

Zu den zugerechneten Stimmrechten von rund 24,11% aufgrund des
Vorkaufsrechts (B.1): Das seit 23.04.2007 bestandene Core Shareholders
Syndikat endete mit Ablauf des 31.12.2022. Trotz Beendigung des Core
Shareholders Syndikats bleibt das Vorkaufsrecht der in Punkt 8. Z 1 bis 2
genannten Rechtsträger und das Vorkaufsrecht der in Punkt 8. unter Z 3 bis
8 genannten Rechtsträger solange aufrecht, als diese jeweils zumindest 8,5
% des Grundkapitals des Emittenten besitzen. Da MKAO Rasperia Trading
Limited der Verordnung (EU) Nr. 269/2014 des Rates vom 17.03.2014 über
restriktive Maßnahmen angesichts von Handlungen, die die territoriale
Unversehrtheit, Souveränität und Unabhängigkeit der Ukraine untergraben
oder bedrohen, in der geänderten/ergänzten Fassung
(EU-Sanktionsverordnung) unterliegt, gelten zum Vorkaufsrecht die
Beschränkungen der EU-Sanktionsverordnung. Die unter Punkt 3. genannten
Rechtsträger haben ein Syndikat ohne MKAO Rasperia Trading Limited
gebildet.
